Apparently, the Senate has agreed to the House provision giving shareholders a non-binding vote on golden parachutes awarded to executives. The House and the Senate still disagree about the Senate's proposed 5% ownership threshold – a provision added in conference -- for proxy access. The House continues to oppose the threshold on the basis that it creates an unrealistic hurdle.

The intent is to wrap up negotiations in the next few days to allow time for the bill to be passed and signed by the President before July 4.
