SEC grants order registering issuers under Section 12(b)
By: Cydney Posner
As you may recall, in connection with its transition to an Exchange, Nasdaq applied to the SEC to have all issuers listed on the Nasdaq Global Market and the Nasdaq Capital Market (that did not opt out) registered under Section 12(b) of the Exchange Act. Today, the SEC issued the order granting Nasdaq's request. Click here for the press release. In addition, the SEC issued an order that exempts Nasdaq Stock Market members, brokers and dealers from the requirements of Section 12(a) with respect to certain securities that are not registered under Section 12(b) (four insurance companies and nine foreign private issuers that qualified for an exemption from the Section 12(g) registration requirements for their securities).
