Merger Control Through the Backdoor(s): The Ex Post Review of Non-Notifiable Transactions in the EU

Cooley partner Jonas Koponen spoke on this panel.

The European Commission is now routinely assessing whether non-notifiable mergers should be referred under Article 22 of the Treaty on the Functioning of the European Union (TFEU). The Towercast judgment opens another door for intervention under Article 102 TFEU, where dominant companies use acquisitions, for example, to prevent market entry. They occur against the backdrop of a discussion about concentration levels and a more interventionist mindset.
