Cooley advised Truebill, a personal finance app that helps consumers manage their financial lives, on its agreement to sell to tech-driven real estate, mortgage and financial services business platform Rocket Companies for $1.275 billion. Kevin Cooper led the Cooley team advising Truebill on this transaction, and Mike Lincoln at Cooley has worked with the company since its inception.

Cooley advised Veralox Therapeutics on its $16.6 million Series A funding round. Partners Geoffrey Starr and Jeff Libson led the Cooley team advising Veralox, a biotechnology company developing first-in-class small molecule therapeutics that treat the underlying pathologies of diseases with significant unmet medical needs.

Cooley advised the underwriters on VIA optronic’s $93.75 million initial public offering of 6,250,000 shares of American Depositary Shares. Berenberg Capital Markets acted as the bookrunning manager for the offering. Craig-Hallum Capital Group acted as the lead manager for the offering. VIA’s securities now trade on the New York Stock Exchange under the symbol “VIAO.” Partners David Boles, Nicole Brookshire and Brian Leaf led the Cooley team.

Cooley advised underwriters on ADC Therapeutics’ $232.7 million initial public offering of 12,245,631 shares of common stock. Morgan Stanley & Co., BofA Securities, Inc. and Cowen and Company, LLC acted as joint book-running managers for the offering. ADC Therapeutics securities now trade on the New York Stock Exchange under the symbol “ADCT.” Partners Div Gupta, Rich Segal, and Alison Hagerty led the Cooley team.

Cooley advised Vital Farms, a certified B Corporation and Delaware public benefit corporation that offers a range of ethically produced pasture-raised food products nationwide, on its $235.4 million initial public offering of 10,699,573 shares of common stock, which includes the full exercise of the underwriters’ option to purchase additional shares. The transaction represents Cooley’s first completed IPO for a certified B Corporation.
