Heather Harrington, Associate

Heather W. Harrington is an associate in the Mergers & AcquisitionsVenture Capital FinancingsEmerging Companies and International practice groups and a member of Cooley's Business department. She joined the Firm in 2008 and is resident in the Boston office.

Ms. Harrington has represented clients in a variety of merger and acquisition transactions involving both local and international business with a wide range of values, including those in excess of $450 million. In the private equity and venture capital area, Ms. Harrington has represented both companies and investors in debt and equity offerings. Ms. Harrington also assists public companies in their compliance with SEC periodic disclosure, corporate governance and Sarbanes-Oxley requirements.

Ms. Harrington's international experience includes merger and acquisition transactions involving entities in the United Kingdom, Germany and Canada, and private equity offerings involving entities in the Bahamas, the Seychelles, Cyprus, the Russian Federation and Israel.

Representative experience:

  • Represented issuers and private equity and venture capital funds in more than 30 financings totaling over $275 million in the life sciences, healthcare, technology, services and retail industries
  • Represented clients in over $900 million in merger and acquisition transactions in the healthcare, manufacturing, medical device, technology and service industries
  • Represented a private investment firm in the formation of its $115 million private equity fund

Previously, Ms. Harrington was an associate at McDermott Will & Emery LLP and Hodgson Russ LLP. Prior to law school, Ms. Harrington was the Assistant Director of the Innovations in American Government Program at Harvard University's Kennedy School of Government.

Ms. Harrington obtained her law degree from Boston College Law School in 2003, graduating cum laude. She graduated, magna cum laude, from Stonehill College with a B.A. in Political Science in 1997. 

In 2009, Ms. Harrington was named a Massachusetts Super Lawyers "Rising Star."

Ms. Harrington is admitted to practice in Massachusetts and New York.
