David Walsh, Partner

Dave Walsh is a partner in the Cooley Godward Kronish Business department and a member of the Compensation & Benefits practice group. He joined the Firm in 1999 and is a resident in the Reston office.

Specializing in the representation of technology and emerging growth companies, Mr. Walsh's clients range from start-up enterprises to large public companies across a variety of industry sectors, such as Internet, e-commerce, software and telecommunications. Most of those clients are centered in the technology and bio-tech corridors in Northern Virginia and Maryland. In addition, Mr. Walsh frequently works with Cooley Godward Kronish's Silicon Valley based clients, teaming up with members of the Firm's Palo Alto and San Francisco offices to provide cross-Continental support and expertise. This affords Mr. Walsh a unique perspective on trends and developments in the executive compensation and benefits arena among technology companies on both the West and East Coasts.

Prior to joining Cooley, Mr. Walsh held a similar position with the international law firm of Hunton & Williams in Tysons Corner, Virginia.

Mr. Walsh creates and counsels clients regarding all varieties of stock option arrangements, phantom stock plans and restricted stock awards. He works with ESOPs and employee stock purchase plans as well.

As a complement to his executive compensation practice, Mr. Walsh has been involved in negotiating and drafting numerous executive employment and consulting agreements, both on the side of the company and the executive, including on behalf of CEOs, Presidents and Chief Technology Officers. Many of those arrangements have included sophisticated tax-avoidance and deferral devices, such as Supplemental Executive Retirement Plans (SERPs) and golden handcuff programs. Over the years, Mr. Walsh has litigated various employment-related claims.

On the more traditional ERISA-side, Mr. Walsh drafts and handles compliance issues for tax-qualified retirement plans, such as profit-sharing and 401(k) plans, and employee health and welfare benefit plans. He frequently helps to integrate the benefit plans of the acquiring and target companies as part of corporate mergers and acquisitions.

Mr. Walsh received his J.D. with honors from the Washington & Lee University School of Law in 1988 where he was Editor-in-Chief of the Washington & Lee University Law Review. In law school, Mr. Walsh was elected to Omicron Delta Kappa, an honorary society recognizing leadership. He graduated college from the University of Virginia in 1985, with a B.A. in Economics and English.

Mr. Walsh is a member of the Virginia and District of Columbia bars, and the American Bar Association Section of Taxation.
