Cooley LLP Advises on Two IPOs Named to The Daily Journal's Top 10 California IPOs of 2012 List

Palo Alto, Calif. – February 11, 2013 – Cooley LLP announced today that it advised on two initial public offerings that were selected to The Daily Journal's Top 10 IPOs of 2012 list, an annual list of the largest IPOs in California. Cooley advised Morgan Stanley & Co. and the other underwriters on ServiceNow's $210 million IPO and advised Ruckus Wireless on its $125 million IPO. Cooley also advised Morgan Stanley and the other underwriters on ServiceNow's $332 million follow-on offering in November 2012.

ServiceNow, a leading provider of cloud-based services that automate enterprise IT operations, debuted on the New York Stock Exchange in June of 2012. The Cooley team advising Morgan Stanley & Co., Citigroup, Deutsche Bank, Barclays, Credit Suisse, UBS, Pacific Crest and Wells Fargo as the underwriters included partners Eric Jensen and John McKenna and associates Seth Gottlieb and Ryan Spiers. Partner Robin Lee provided intellectual property advice and Colorado-based associate Aaron Pomeroy provided tax counsel.

Ruckus Wireless, a global supplier of carrier-class, "Smart Wi-Fi" products and technologies, debuted on the New York Stock Exchange in November of 2012. The Cooley team advising this long-time client included partners Eric Jensen and Michael Tenta and associates Rose Standifer and Atul Porwal.

In 2012, Cooley advised on 13 IPOs and 36 follow-on offerings for a total of 49 offerings. Cooley has started out 2013 strong, advising on two IPOs and six follow-on offerings in January alone.
