Peyton Worley, Associate

J. Peyton Worley is an associate in the Capital Markets,  Venture Capital and Securities Regulation practice groups and a member of Cooley's Business department. He joined the Firm in 2007 and is resident in the New York office and previously in our Boston Office. Prior to joining Cooley, he was a corporate associate at Sullivan & Worcester LLP.

Mr. Worley concentrates his practice on hedge fund and private equity fund formation, representing both investors and sponsors. His experience encompasses funds with a broad range of structures, including both onshore and offshore funds, and geographic and investment focuses--including U.S.-, European- and Asian-focused funds--and venture capital, leveraged buyout, mezzanine debt and real estate funds. He represents two public companies with respect to all aspects of Securities Exchange Act of 1934 reporting and compliance. Additionally, Mr. Worley specializes in secured and unsecured credit transactions, public equity and debt offerings, venture capital financing and general corporate matters.

He was named a "Rising Star" by Massachusetts Super Lawyers, Boston Magazine in 2006, 2007 and 2009.

  • Represented investment bank in $44 million follow-on equity offering for pharmaceuticals company
  • Represented investment bank in $91 million follow-on equity offering for software company
  • Represented issuer in $165 million follow-on equity offering for biopharmaceuticals company
  • Represented investment bank in $110 million senior secured notes offering for large restaurant chain
  • Represented issuer in $20 million convertible notes exchange offering for biofuels company
  • Represented lender in $100 million global multi-currency credit facility
  • Represented senior lender in $75 million management buyout credit facility
  • Represented PE backed software company in $60 million credit facility
  • Represented PE backed healthcare company in $60 million credit facility
  • Represented investors in over 40 private equity fund investments involving aggregate investments over $900 million
  • Represented emerging hedge fund sponsor in initial hedge fund focusing on disfavored markets
  • Represented management team in spinout from existing venture firm
  • Represented public issuers in equity and debt offerings of over $1.5 billion in the aggregate
  • On-going representation of two public companies with respect to Sarbanes-Oxley compliance
    Represented investor in $30 million Series C convertible preferred stock financing in nanotech company
  • Represented wireless technology company in $12 million Series A convertible preferred stock financing

Mr. Worley earned his J.D. from Boston University School of Law, graduating magna cum laude in 2001.  He graduated summa cum laude with a B.A. from East Tennessee State University in 1998.  Mr. Worley is admitted to practice in Massachusetts and is a member of the American Bar Association and the Boston Bar Association.
