Mark Spoto is a partner in the Cooley Godward Kronish Business department and a member of the Mergers & Acquisitions practice group. He maintains offices in Reston and New York and has been with the Firm since 1999.
Mr. Spoto's practice focuses on mergers and acquisitions, venture capital, private equity and public securities offerings, as well as general corporate representation. His clients are engaged in industry sectors including software, telecommunications, government contracts, media, semiconductors, security, services and information technology. He also represents a number of leading venture capital and private equity firms.
Mr. Spoto's merger and acquisition experience includes representation of buyers and sellers in structuring and negotiating transactions such as stock and asset acquisitions and divestitures, mergers, bankruptcy reorganizations, leveraged and management buyouts, tender offers, auctions, and consolidations. His venture capital and private equity experience includes numerous seed, angel, early, expansion and mezzanine round financings and control acquisitions for both issuers and investors. Mr. Spoto also has significant experience in representing companies in public offerings and advising companies on SEC reporting obligations.
Mr. Spoto received a J.D., magna cum laude, from Georgetown University Law Center in 1995, where he was an editor of the Georgetown Law Journal and elected to the Order of the Coif. He received a B.S. in Aerospace Engineering, summa cum laude, from Boston University in 1990, where he was elected to the Tau Beta Pi honor society.
Prior to attending law school, Mr. Spoto worked as a Structural Dynamicist on the Titan IV rocket program for McDonnell Douglas Space Systems Company in Huntington Beach, California. Prior to joining Cooley in April 1999, he was an associate with Hunton & Williams in McLean, Virginia from September 1998 through April 1999, and an associate with Latham & Watkins in Washington, D.C. from September 1995 through September 1998.
From 2008-2009, Chambers USA named Mr. Spoto to its list of America's Leading Lawyers for Business. In 2009, The Legal 500 selected Mr. Spoto as a leading lawyer in the fields of venture capital and emerging companies.
Mr. Spoto is a member of the Virginia and District of Columbia bar associations.
