Michael Baker is an associate in the Tax practice group and a member of the Firm's Business department. He joined the Firm in 2007 and is resident in the Colorado office.
Mr. Baker's practice focuses upon taxation of partnerships and corporations in a variety of contexts, including mergers and acquisitions, insolvency and restructurings, as well as structuring and drafting partnership and limited liability company agreements.
Mr. Baker also advises clients with respect to tax, securities, and corporate law issues that arise in connection with the design and implementation of employee benefit plans. He represents companies in designing, negotiating and documenting employment agreements, executive compensation arrangements, equity and other long-term incentive compensation on an on-going basis, as well as in connection with mergers, acquisitions and other corporate transactions. He has been called on extensively by clients to advise regarding Internal Revenue Code Section 409A. He can assist with qualified plans and ERISA.
Prior to joining Cooley, Mr. Baker was an Employee Benefits and Compensation Associate at Wilson Sonsini Goodrich & Rosati in Palo Alto, California. Mr. Baker received his J.D. from Cornell Law School and completed his undergraduate studies at Utah State University in Logan, receiving a B.S., magna cum laude, in Accounting.
Mr. Baker is admitted to practice in Colorado and California and is a member of the American and Colorado Bar Associations.
