Mark L. Johnson is a partner in the Cooley Business department. He joined the Firm in 2008 and is resident in the Boston office.
Mr. Johnson's practice focuses on corporate and securities law. He has extensive experience representing issuers, underwriters and investors in financings by companies in a variety of industries, ranging from high technology software and telecommunications to medical services and cable television operations. His public offering experience includes initial public offerings, follow-on equity offerings and secondary offerings by principal stockholders, as well as registered offerings of convertible, investment grade and high-yield debt. He also has acquired considerable experience in private placements of equity and debt securities, including PIPE, Rule 144A and Regulation S offerings. A significant portion of Mr. Johnson's practice consists of counseling public clients on ongoing corporate legal matters, including federal securities reporting requirements and corporate governance issues. In addition, he has represented public and private companies in a variety of mergers and acquisitions, including stock mergers, cash mergers, asset sales, management buy-outs and proxy contests.
Prior to joining Cooley, Mr. Johnson was a partner and the chair of the underwriting group at WilmerHale. Earlier in his career, Mr. Johnson was a partner at Foley Hoag LLP and an associate at Cleary, Gottlieb, Steen & Hamilton, LLP.
Mr. Johnson received his J.D., cum laude, from Harvard Law School in 1983. He received his B.S., with high distinction, from the University of Nebraska in 1980.
Mr. Johnson is admitted to practice in Massachusetts and New York.
