Gian-Michele a Marca represents issuers, private equity firms and banks in various financing and corporate transactions, including bank financings, structured financings, convertible and high yield bond offerings, equity offerings and mergers, acquisitions and dispositions. He also represents both issuers and underwriters in initial public offerings of specified purpose acquisition companies ("SPACs") and represents SPACs, investment banks and target companies in business combination transactions by SPACs.
Mr. a Marca's recent deals include:
- Rovi Corporation – $460 million offering of 2.625% convertible senior notes due 2040 (2010)
- Brocade Communications Systems, Inc. – $600 million offering of senior secured notes (2010)
- JDA Software Group, Inc. – $275 million offering of 8% senior notes due 2014 (2009)
- Onyx Pharmaceuticals, Inc. – $230 million offering of 4.00% convertible senior notes due 2016 (2009)
- Natural Selection Foods – $350 million sale to an entity formed by HM Capital Partners (2009)
- Brocade Communication Systems, Inc. – $1.2 billion senior secured credit facilities to finance the acquisition of Foundry Networks (2008)
- Jazz Technologies, Inc. – $169 million sale to Tower Semiconductor Ltd. (2008)
- Precision Therapeutics, Inc. – $120 million sale to Oracle Healthcare Acquisition Corp. (signed 2007; terminated 2008)
Mr. a Marca received a J.D. degree, cum laude, in 1996 from Georgetown University Law Center. Mr. a Marca received a Bachelor's degree, cum laude, in Political Science in 1993 from the University of California, Los Angeles, where he received high departmental honors from the Political Science department.
Mr. a Marca is admitted to practice in the states of New York and California.
Mr. a Marca is joined the Firm as a lateral in 2000 and is resident in the San Francisco office.
