Cooley Godward Kronish's Life Sciences Corporate Partnering & Licensing group offers clients a unique resource—a dedicated, national practice group of more than 25 professionals who focus exclusively on corporate partnering, licensing and other commercial transactions that are specific to life sciences companies. All of our attorneys have deep domain experience in the life sciences industry, and our more senior members are recognized internationally as being among the best at what they do. Nearly one third of the attorneys in the group have advanced degrees in relevant scientific disciplines, while others bring a wealth of prior experience as pharmaceutical marketing specialists, business consultants, finance leaders, biotech researchers and in-house counsel at life sciences companies. Many of them also speak multiple languages and work extensively on cross-border transactions.

Why Clients Turn to Cooley

Ranging from early stage ventures through mature, publicly traded companies, our clients look to us for business-driven counsel and assistance in all aspects of the acquisition, development and commercialization of their intellectual property, technology and products, as well as the financing of their operations. In fact, many of our clients view us as part of their experience base and competitive advantage. Moreover, our approach to working with clients is highly collaborative, and we strive to ensure successful, long-standing relationships, helping companies during the early development stages all the way to a successful public offering or an acquisition.

We are at our best when required to find new, innovative solutions to problems that arise in the course of sophisticated transactions involving complex technologies and product opportunities. From the earliest R&D clinical limited partnerships to the latest ground-breaking collaborations, our Life Sciences attorneys have helped structure and negotiate many of the most innovative deal strategies in the industry. Some of these include:
  • $800 million collaboration between PDL and Biogen Idec, making it the second largest biotech deal in 2005 and garnering the title “Whopper Deal of the Year” from BioWorld
  • $570 million deal between Anadys and Novartis, the largest Phase I deal in biotech history (BioWorld, June 2005) and winner of “The Most Creative and Significant Deal of 2005” at the 18th Annual Biotech CEO Meeting
  • Aspreva Pharmaceutical’s groundbreaking collaboration with Roche involving the exclusive development and promotion by Aspreva of Roche’s transplant drug CellCept® for autoimmune disease worldwide (except for Japan)
And our track record speaks for itself:

  • From 2001 – 2003, Cooley advised biotech companies in nearly 25 percent of all Phase II and Phase III corporate partnering deals with a reported value of more than $100 million (Bio Business, BioCentury Bernstein Report, January 2004)
  • Allicense "Breakthrough Deal of the Year was awarded to Cooley partnering transactions four time in the last seven years (Nuvelo/Bayer, 2005; Amylin/Eli, 2002; Isis/Eli Lilly, 2001; CVT/Innovex, 1999)
  • Cooley handled 5 of the top 10 biotech/pharma corporate partnering deals done worldwide in 2002 (In Vivo, Feb. 2003)
