Cooley's Investment Banking practice represents nearly all of the major investment banks in a variety of equity and debt financings, most of which involve the financing of emerging, high-growth technology and life sciences companies that form the foundation of our client base. Our financing expertise, intimate knowledge of technology, local presence in technology markets and ability to call upon our colleagues in other Cooley practice areas enable us to provide effective support.

A large portion of our practice includes advising investment banks regarding their role as underwriters in initial and follow-on public offerings. In fact, over the past several years, we have been consistently ranked as one of the top 25 U.S. underwriters' counsels for initial public offerings. We also provide guidance on structuring and implementing Rule 144A, PIPES and private placement financings, as well as mergers and acquisitions. In addition, we assist investment banks with fund formation, employment, tax and other general corporate matters.

Taking a team approach, we assign a senior member of the Investment Banking practice to head each client team.
