Jane K. Adams is a partner in the Cooley Godward Kronish Business department and an active member of the Firm's Life Sciences practice group. She joined the Firm in 1995 and is resident in the Firm's San Diego office.
Ms. Adams' practice focuses on the representation of public and private life sciences and health care companies in a broad range of commercial and corporate finance matters that are critical to their business. She provides counsel to these companies on complex commercial transactions, including strategic alliances, joint ventures, technology licenses and acquisitions, and has extensive experience in assisting clients in negotiating and maintaining relationships with pharmaceutical and biotechnology companies in the United States, Europe and Asia.
Ms. Adams also regularly counsels clients on a wide array of corporate and securities matters, including public offerings, private financings, mergers and acquisitions and corporate governance, and has represented investment banking firms in numerous financing transactions. She works closely with her clients to understand each client's business and strategic objectives and to structure and negotiate transactions to meet those objectives.
Ms. Adams has been recognized as a leading lawyer in the nation. In 2006, she was named to The Lawdragon 3000 Leading Lawyers in America as well as Lawdragon's 500 New Stars, New Worlds list. In 2007, Ms. Adams was named by her peers and colleagues to the "Top San Diego County Attorneys" list in the category of Corporate Transactional, as published by the San Diego Daily Transcript.
Ms. Adams received a J.D., cum laude, from Harvard Law School in 1995. She completed a B.A., summa cum laude, in Italian literature and civilization at Princeton University in 1991, where she was elected to Phi Beta Kappa.
Ms. Adams is a member of the State Bar of California, the American Bar Association and the San Diego County Bar Association.
