Over the past five years, Cooley Godward Kronish has handled more than 300 M&A transactions, ranging in size from less than $5 million to more than $5 billion, making our practice one of the most active in the country. In addition to handling acquisitions of venture capital-backed corporations and other closely held entities, we regularly negotiate acquisitions involving large, publicly traded companies. Our extensive experience in this area is built in part upon Cooley's nationally recognized public securities and public offerings practices and our ongoing representation of more than 100 publicly held companies.

While we have been particularly active in working with clients in the technology and life sciences sectors – negotiating some of the largest software, semiconductor equipment, medical devices and biotech mergers ever completed – our experience encompasses virtually all industry groups. It also includes representation of all categories of participants in acquisition transactions, including buyers, sellers, major stockholders, lenders, financial advisors, management, special board committees, venture capitalists, individual investors, private equity funds, hedge funds and others. And, because Cooley is a full-service law firm, we can provide our M&A clients with a broad range of legal support in the tax, employee benefits, antitrust, intellectual property, real estate, securities and litigation areas.

A Dedicated Mergers & Acquisitions Group

We have assembled a specialized group of highly skilled transactional attorneys who focus exclusively on M&A matters. We believe that providing our clients with access to focused and experienced practitioners who are on the cutting edge of this sophisticated and evolving field is the only way to ensure that we meet our clients’ needs.

Top-Tier Reputation; Global Recognition

Our M&A attorneys are widely recognized as leaders and experts in their field.  One of our M&A attorneys served as Chair of the Committee on Negotiated Acquisitions, a committee consisting of more than 2,000 M&A practitioners throughout the United States, Canada and more than 20 other countries.  Another Cooley M&A attorney serves as Vice Chair of that Committee’s Market Trends Subcommittee, which publishes studies on trends in public and private company M&A transactions.

Cooley M&A attorneys frequently lecture at some of the most prominent conferences in the country, including the annual Institute on Corporate, Securities and Related Aspects of Mergers and Acquisitions in New York City and the annual Securities Regulation Institute in San Diego.  One of our M&A attorneys co-chairs the ABA’s annual National Institute on Negotiating Business Acquisitions, and two of our M&A attorneys have co-chaired the West Coast Technology M&A Forum

Cooley M&A attorneys appear in numerous publications that list and rank the top attorneys in the United States and the world, including The Best Lawyers in America; Euromoney’s Guide to the World’s Leading Mergers and Acquisitions Lawyers; the Chambers Global Guide to the World’s Leading Lawyers; the International Who’s Who of Merger & Acquisition Lawyers and Lawdragon’s lists of the leading lawyers in America.

Cooley was named Law Firm of the Year by The M&A Advisor in 2004, and has been described in the Chambers Global Guide as “a powerhouse in the hi-tech sphere” (2003).

One of our M&A attorneys has been recognized as a Dealmaker of the Year by The American Lawyer magazine (2005) and as a California Lawyer of the Year by California Lawyer magazine (2005). This attorney has been described in the Chambers Guide to America’s Leading Lawyers for Business as a “go-to guy” garnering comments such as “the best attorney I have ever worked with.”

Another Cooley M&A attorney has been recognized as one of the 100 most influential lawyers in America by The National Law Journal (2006), and has been described in the Chambers Guides as: “the man who drives the M&A deals in the IT industry” (2000-01); “clearly the name for M&A” and a “national figure” (2001-02); “an outstanding professional with a winning style of negotiation” (2003-04); “hailed by some as one of the best M&A attorneys in the country” (2005); and an “extraordinary M&A attorney” who “remains at the forefront of the market nationally” (2006). Who's Who Legal described this attorney as follows: "Renowned as former chair of the American Bar Association's section of business law's committee on negotiated acquisitions, his experience of technology transactions in particular contributes to his 'immense stature' in the market."
