Cooley represents developers in various types of development and construction projects throughout the United States, the Caribbean and Central America.
Our attorneys advise clients on all aspects of the development and construction process, including land acquisition, zoning and entitlements, acquisition, construction, permanent financing and property covenants and restrictions. In addition, the group has extensive experience drafting and negotiating contracts with contractors, construction managers, architects and engineers.
Representative transactions include advising:
- Manchester Financial Group in its development of the Navy Broadway Complex, a 3-million-square-foot, $1.3-billion redevelopment of four city blocks on the western end of downtown San Diego, including a 99-year, $160-million ground lease with the Navy, construction contracts and heavily contested environmental and land use approvals. The project represents one of the largest single waterfront developments in the western United States.
- A leading private equity firm in connection with the $1 billion redevelopment of the Dorado Beach Resort in Puerto Rico, which will include two premium hotels, four championship golf courses and nearly 1,000 luxury residential units.
- A leading public technology company in its acquisition of an existing office park in Silicon Valley and the planned redevelopment of its headquarters to include a 2-million-square-foot corporate campus.
- Dupont Fabros Technology, Inc., a leading owner, developer, operator and manager of wholesale data centers, in connection with its ground-up development of seven data centers in Northern Virginia, Chicago, Santa Clara and New Jersey totaling over 1,250,000 square feet, with total available critical power in excess of 130 megawatts.
- A Real Estate Investment Fund in the renovation and conversion of the Fiesta Premier Resort & Spa, a 202-room, all-inclusive five-star resort in Costa Rica to a Doubletree resort, and in the renovation and conversion of the Fiesta Resort & Casino, a 404-room, four-star resort in Costa Rica to a Hilton resort.
- Caribbean Property Group in the development of a 49-acre, beach-front 300-room full service Westin hotel on the southern tip of the Bay of Papagayo in Costa Rica.
- A private equity firm in the development of private club residences at the Royal Decameron Beach & Casino Resort in the Farallon region of Panama.
- The Zeps/Lipinsky family in connection with the development of one of the largest luxury student housing projects in the nation. The project will be a dramatic improvement to San Diego State University. The development is being undertaken through a joint venture, negotiated by Cooley, with a major private equity fund.
