Partners Jennifer Fonner DiNucci and Craig Menden Named Vice Chairs of Subcommittees for the American Bar Association's M&A Committee

Palo Alto, Calif. – February 5, 2013 – Cooley LLP announced today that mergers & acquisitions partners Jennifer Fonner DiNucci and Craig Menden have been named as Vice Chairs of the Acquisitions of Public Companies Subcommittee and Market Trends Subcommittee, respectively, of the American Bar Association (ABA) M&A Committee.

In her leadership role, DiNucci will work closely with the chairs of the model two-step tender offer agreement task force and the financial advisors task force on their activities and projects. Jen has been active on the task force for the model two-step tender offer agreement, and this appointment acknowledges the value of her contributions to that project.

In his role as Vice Chair, Menden will assist the various working groups that produce the widely used Deal Points Studies. The Market Trends Subcommittee has produced fifteen different Deal Points Studies, including two in the past few months and has several more in process. In addition to his new leadership role for the Market Trends Subcommittee that oversees the various Market Trends Studies, Craig is also an issue group leader for the US Private Target Deal Points Studies. Craig has been actively involved in the Market Trends Subcommittee for the past six years.

"Craig and Jennifer are both incredibly talented and knowledgeable attorneys," said Barbara Borden, chair of Cooley's mergers and acquisitions practice group. "Their depth of experience will be an incredible asset to the ABA M&A Committee, and their appointments reflect Cooley's strength in M&A."
